The Original Factory Shop's 56-year run ended when all 137 stores closed

What happened

The Original Factory Shop was founded in 1969 and grew to become a fixture of UK discount retail, operating 137 stores selling branded and own-sourced products across clothing, homewares, beauty, toys, and seasonal goods. For over five decades it served small towns and suburban communities where discount retail was a primary shopping destination, building a loyal customer base on value and convenience.

The chain was owned by Modella Capital, a private equity firm that also owned Claire's UK operations. By early 2026, TOFS was facing a combination of adverse trading conditions, weak consumer confidence, and rising costs from government fiscal policies including higher National Insurance. Attempts to find a buyer or secure rescue financing failed when prospective buyers walked away from negotiations.

On 28 January 2026, Rick Harrison and James Clark of Interpath Advisory were appointed as joint administrators of The Factory Shop Limited, which traded as The Original Factory Shop. All 137 stores and the head office were closed, approximately 1,180 employees lost their jobs, and the company entered administration with debts exceeding £100 million.

Why it happened

  • TOFS operated in the discount retail segment where margins are razor-thin and customer loyalty is to price — once costs rose above the level those margins could support, the model broke irretrievably
  • Government policy changes, including higher National Insurance and regulatory costs, added an estimated layer of expense that a low-margin retailer could not pass on to price-sensitive customers
  • The UK high street's structural decline in foot traffic hit small-town locations — precisely TOFS's core market — hardest, as shopping moved online and to out-of-town parks
  • Modella Capital's rescue talks collapsed because the gap between TOFS's liabilities and any buyer's offer was too wide to bridge

The lesson

When a retailer with 137 stores owes £100M more than its assets are worth, no rescue talks can fix the gap — the business model broke long before the administration

Aftermath

All 137 The Original Factory Shop stores were closed immediately upon administration, with joint administrators Rick Harrison and James Clark of Interpath Advisory handling the insolvency. Approximately 1,180 employees were made redundant. Creditors were owed in excess of £100 million. The brand's owner Modella Capital, which also owned Claire's UK operations, was unable to salvage any value from the 56-year-old chain.
