Relevance today
How a failure is communicated is part of the failure. The midnight WhatsApp and the Facebook post turned a retail collapse into a permanent cautionary phrase; name the communication plan before the crisis writes it for you.
What happened
Mercatone Uno was born in 1975, when Romano Cenni (1933–2017) constituted the first company SIEL — Società Italiana Elettronica — to sell radios, televisions and appliances, with a first big store at Toscanella di Dozza, near Bologna. It grew into Italy's big-box chain for furniture and household goods: over 90 stores, 3,700 to 4,000 employees, 800 million euros of revenue. The brand rode on cycling — it sponsored Marco Pantani's team; decades later, 37 Pantani memorabilia items would go under the hammer with the bankruptcy estate.
By 2015 the chain had filed for concordato preventivo in Bologna, and on 7 April 2015 the development ministry admitted the group to amministrazione straordinaria. The buyer that finally appeared was Shernon Holding — controllata dalla società di diritto maltese Star Alliance Limited in mano a due soci italo-svizzeri, Valdero Rigoni e Michael Tahlman — which took the business on 29 June 2018 with 2,704 employees, ninety percent of the total. Nine months later Shernon itself was bankrupt.
On 23 May 2019 the Milan court declared Shernon Holding bankrupt — 90 million euros of debt in nine months — and closed every store. They shut overnight. Store directors got a WhatsApp message around 00:45: oggi non ci sarebbe stata nessuna apertura a causa del fallimento della Shernon Holding. The 1,860 workers who came in on 25 May found the shutters down; they scoprirono quello che era successo dalla pagina Facebook della società, Il Post wrote. il manifesto's headline became the story: Mercatone Uno, 1860 lavoratori scoprono il nuovo crac su Facebook.
In February 2020 the commissioners saved 11 stores and 365 workers; in November 2020 what remained suspended activity for good. But the phrase survived: at least nine outlets ran near-identical headlines — i dipendenti lo scoprono su Facebook — and the case became Italy's shorthand for learning bad news through a feed. On 9 December 2020 the estate auctioned the Pantani memorabilia. Il Post closed the story in one sentence: the directors were warned by WhatsApp, and the workers found out on Facebook.
What it cost
The midnight WhatsApp to directors and a Facebook post for workers turned the closure itself into the story, making the silence the headline.
Why it happened
The rescue buyer was thinner than the patient: Shernon, controlled by a Maltese entity, lasted nine months and added 90 million euros of debt.
The closure was communicated as an afterthought: a midnight WhatsApp to directors, a Facebook post for the 1,860 — the silence itself became the story.
The brand was nostalgia without margin: four decades of household name could not save the 2015 concordato or the 2018 sale.
The lesson
A company's last act is also its story. Mercatone Uno will be remembered less for forty years of trading than for the morning 1,860 workers read their own dismissal on the company's Facebook page.
