Southeast Asia's first grocery app raised $140M — then wound up in liquidation

Founded in Jakarta in 2014, HappyFresh expanded to Malaysia and Thailand on $97M-plus of funding; it quit both markets in 2022 and entered liquidation in 2023.

What happened

HappyFresh launched in Jakarta in 2014 as Southeast Asia's first grocery-delivery app: an Instacart-style service whose shoppers picked orders from partner supermarkets and speciality stores. It expanded to Malaysia and Thailand, raising at least US$97 million in equity and debt — later reported as more than $140 million including loans — from backers including Grab, Samena Capital and SMDV.

The retreat began in 2022. Debt-laden and restructuring, with turnaround firm Alvarez & Marsal hired and Kroll representatives taking board seats, HappyFresh announced on 22 September 2022 that it was ceasing operations in Malaysia after seven years — it had 'no choice', it said, given the 'current economic situation' — and exited Thailand the same way, to focus on Indonesia. More than 850 jobs went in Malaysia alone.

Even the home market could not be saved. In August 2023 the company's Singapore entity entered creditors' voluntary liquidation. Nine years, three countries and over $140 million of equity and loans ended in a winding-up filing.

Why it happened

  • Three-country expansion ran on equity and venture debt; when the capital cycle turned, lenders — not founders — drove the restructuring.
  • The retreat came after seven years of spend: Malaysia and Thailand were abandoned only when the cash was nearly gone.
  • Shrinking to one market bought months, not a business: the Indonesian operation could not carry the group's obligations.
