FreshRealm prepared meal kits and ready-made meals for Blue Apron, Marley Spoon and retailers including Walmart and Kroger. A 2023 Blue Apron roll-up and a 2024 Marley Spoon roll-up bought scale and a 10-year exclusive Blue Apron production and fulfillment agreement, but integration cost was never overcome and the company operated at a loss through 2023 and 2024.

On March 19, 2025 USDA-FSIS sampling at its Indianapolis plant detected the outbreak strain of Listeria monocytogenes. Five separate withdrawal or recall events followed through 2025, with a serious public-health toll: the outbreak caused 28 cases, 27 hospitalizations and 7 deaths across 19 states. Business-interruption claims filed totaled $64.1M against $20M-per-year recall and business-interruption limits, and were contested.

Two shocks then converged. Walmart, more than 20% of revenue, gave notice that it would end the customer relationship effective January 2026, forcing the San Clemente and Indianapolis closures, and Blue Apron issued a December 18, 2025 termination notice under the parties' production-and-fulfillment agreement. By the filing, Blue Apron and Marley Spoon accounted for more than 90% of revenue.

After a failed refinancing that reached 15 lenders with no viable offer, FreshRealm and four affiliates filed Chapter 11 in the District of New Jersey on April 27, 2026 with about $168 million in funded debt. It settled with Blue Apron (about $47M cash plus accommodations) and sold the Blue Apron-related assets to Misfits Market, then pivoted to a joint liquidating plan after no qualifying third-party bid emerged.

Five 2025 listeria recalls, loss of Walmart (>20% of revenue) and Blue Apron's exit, ~$168M funded debt, and liquidation cut ~1,000 jobs.

The company depended on two giant customers: Walmart (over 20% of revenue) and Blue Apron (an exclusive production-and-fulfillment deal).

Listeria recalls in 2025 disrupted operations, triggered a serious public-health outbreak and tied up the company in insurance and tort exposure.

Integration of the Blue Apron and Marley Spoon roll-ups never produced enough productivity gain to cover operating losses.

After the recalls, Walmart ended its customer relationship and Blue Apron gave a termination notice, removing the revenue that held the model together.

Refinancing failed twice — roughly 15 lenders plus a DIP solicitation produced no qualifying term sheet.

Concentrated customer risk is a silent killer. With a 10-year Blue Apron deal and heavy Walmart reliance, a food-safety incident triggered recalls that killed its biggest account and the anchor deal.

FreshRealm's restructuring pivoted from operating reorganization to liquidation. It settled with Blue Apron through a 9019 agreement and sold the Blue Apron-related production to Misfits Market for $1 plus assumed liabilities, with Misfits carved out of all listeria-related liabilities. The DIP provided $63M of new and rolled-up financing. More than 1,000 employees lost jobs, including 637 in New Jersey, and the case moved under a joint liquidating plan with a confirmation hearing scheduled for September 24, 2026.
