What happened

Dana Classic Fragrances, founded in 1932, was one of the oldest fragrance houses in the United States, known for a portfolio of enduring scent lines. By the 2020s, the brand was owned by IMG Holdings and carried more than $64 million in secured debt alongside $500,000 in unsecured trade debt.

The company's revenue had shrunk to a fraction of its debt load: $3.5 million in sales in 2023 and $4 million in 2024. Several challenging years for the beauty sector left the business unable to service its obligations, and IMG Holdings filed for Chapter 11 bankruptcy protection.

Under court supervision, the company pursued a Section 363 sale of its key fragrance trademarks, including legacy Dana scents. Fragrance Xtreme emerged as the stalking-horse bidder, offering $3 million for the trademarks and $500,000 in debtor-in-possession financing to keep operations stable during the restructuring.

Aftermath

Fragrance Xtreme acquired the Dana fragrance trademarks through the Section 363 sale. The Dana Classic Fragrances name and its legacy scent lines continued under new ownership, but the original company's 93-year run as an independent business ended in bankruptcy court.
