UnoAErre, Italy's leading goldsmith, filed for court protection after a failed PE buyout

UnoAErre was Arezzo's most important goldsmith company. A 1999 private equity buyout loaded it with debt, and by 2010 it was in court protection.

What happened

UnoAErre, originally founded as Gori & Zucchi in Arezzo, Tuscany in 1926, was the most important goldsmith company in the Arezzo jewellery district. The company produced gold jewellery and watches, and at its peak in the 1960s employed 1,500 people. In 1999, private equity fund Morgan Grenfell (part of Deutsche Bank) acquired a majority stake, loading the company with debt as part of the buyout structure.

The PE fund exited in 2007, returning ownership to the Zucchi family. The company had been in financial difficulties since the late 1990s, and the debt burden from the buyout made the situation worse. Despite the ownership change, the company continued to post losses.

In November 2010, UnoAErre filed for credit protection (concordato preventivo) with the court. At the request of creditor banks Monte dei Paschi di Siena and Intesa Sanpaolo, industry turnaround specialist Sergio Squarcialupi was appointed to lead the company. In 2012, Squarcialupi acquired 100% of the company, initiating a restructuring. By 2022, UnoAErre had recovered to €276 million in turnover with 500 employees.

The lesson

Private equity can load a healthy company with debt that survives the PE exit. A buyout that returns ownership without fixing the underlying business is not a recovery — it is a delay.

Aftermath

UnoAErre was restructured under Sergio Squarcialupi from 2012, consolidated its operations, and returned to profitability. By 2022 it had €276 million in turnover and 500 employees.
