What happened
In July 2022 Tenaris agreed to buy 100% of Benteler Steel & Tube Manufacturing, including the Shreveport, Louisiana seamless steel pipe plant, for $460 million on a cash-free, debt-free basis. Tenaris said the deal included $52 million of working capital and required U.S. antitrust approval.
The plant was strategically tempting because it had up to 400,000 metric tons of annual pipe rolling capacity and would expand Tenaris' U.S. manufacturing range. That same logic made the deal sensitive: it combined domestic capacity in seamless tubing and production casing used by oil and gas customers.
In February 2023 Benteler terminated the sale. Steel Market Update reported that the sale ended immediately, while MLex and DOJ tied the abandonment to U.S. competition concerns over combining two manufacturers of steel tubes and pipes used in oil and gas production.
What it cost
A $460M acquisition, including $52M of working capital, was abandoned before closing.
Why it happened
The asset was not generic capacity; it was a modern U.S. seamless pipe plant in a concentrated market.
The agreement depended on antitrust approval, so delay itself gave the seller an exit point.
Market conditions improved while the review dragged on, weakening Benteler's incentive to sell.
Tenaris treated local manufacturing expansion as a strategic fit, but regulators saw fewer independent suppliers.
The lesson
Buying a rival's scarce domestic capacity is not just an asset deal. If the asset is one of few alternatives, antitrust risk is the asset.
Aftermath
Benteler kept the Shreveport plant and said it would strengthen the U.S. steel tube business with its employees and Houston sales organization. Tenaris lost the chance to add the Louisiana facility and had to pursue U.S. growth without that acquired capacity.
