What happened
SunPower Inc. (Nasdaq: SPWR), a Delaware corporation headquartered in Orem, Utah, filed its annual report for the fiscal year ended December 28, 2025 in early October 2026. The filing disclosed that on April 13, 2026, authorized officers and the Audit Committee had determined that previously issued interim financial statements for three quarterly periods 'contain material errors and should no longer be relied upon and should be restated.' The company first announced the determination in a Form 8-K filed April 14, 2026.
The affected periods covered the thirteen weeks ended March 30, 2025; the thirteen and twenty-six weeks ended June 29, 2025; and the thirteen and thirty-nine weeks ended September 28, 2025 — the first three quarters of the fiscal year. The errors ran through revenue recognition and the related cost of revenues, sales commissions, sales and marketing expenses, general and administrative expenses, and interest expense.
The material misstatements were corrected in the annual results included in the annual report, but the restatement of the prior quarterly reports was still unfinished at filing time. The 10-K classifies SunPower as a non-accelerated filer, a smaller reporting company and an emerging growth company; the aggregate market value of common stock held by non-affiliates was about $85.2 million as of June 27, 2025, based on a closing price of $1.73 a share on the Nasdaq Global Market.
What it cost
Three FY2025 quarters declared unreliable and still un-restated at the October 2026 annual report; public float valued near $85 million
Why it happened
The errors were not a single line item: revenue recognition, commissions, sales and marketing, G&A and interest expense were all misstated across three quarters.
From the April 14, 2026 8-K disclosure until the October annual report, investors were left with quarterly filings the company itself said could not be relied upon.
Correcting the annual results did not fix the record: the restatement of the affected quarterly filings was still incomplete when the 10-K was filed.
The lesson
Errors that touch revenue recognition rarely stay in one quarter: they compound across the year, and a small reporting company can spend two more quarters just getting its filings straight again.
Aftermath
The material misstatements were corrected in the annual results included in the FY2025 annual report, but the restatement of the affected quarterly filings remains in progress. SunPower's common stock and redeemable warrants continue to trade on the Nasdaq Global Market under the symbols SPWR and SPWR W. The company is designated a non-accelerated filer, a smaller reporting company and an emerging growth company, and has elected the extended transition period for adopting new or revised financial accounting standards.
