EON Resources (NYSE American: EONR), a Houston-based oil and gas company, filed a current report on October 9, 2026 disclosing that its annual report for the fiscal year ended December 31, 2025 contained a calculation error in depletion, depreciation and amortization expense. The error sat entirely in the fourth quarter of that fiscal year: DD&A expense was overstated by $3,540,000. Because of it, the fiscal 2025 net loss decreased by $2,632,000, and the loss allocated to shareholders is expected to fall from $10.1 million to about $7.5 million once the amendment is filed.

Management determined on October 8, 2026 that the 2025 annual report, filed with the SEC less than two weeks earlier on September 28, should no longer be relied upon. The company stressed the restatement is non-cash and has no impact on cash flows or marketable investments, and said officers discussed the matter with its auditor, CBIZ CPAs P.C.

Non-reliance on the 2025 annual report filed September 28, 2026, plus a restatement; reported loss allocated to shareholders revised from $10.1M to about $7.5M

The DD&A error sat entirely in one quarter but invalidated the whole annual report.

Non-reliance was determined 10 days after the filing was made, requiring an immediate amendment.

The overstatement had inflated the reported net loss by $2.6 million for the year.

A single quarter's calculation error can void an entire annual filing. Non-cash mistakes still trigger non-reliance, auditor talks and a restatement.

The company says the restatement is non-cash with no impact on cash, cash equivalents or marketable investments, and that it has communicated the matter to its auditor. A revised 10-K restating fiscal 2025 is expected to follow the October 9 disclosure.
