And Create's ¥350M women's clothing retail collapsed 5 years after founding
A Fukuoka women's clothing retailer that inherited 70 years of history accumulated ¥350M in debt in only 5 years as COVID crushed sales.

What happened
And Create Co., Ltd. was a Fukuoka-based women's clothing retailer operating stores under the 'ANDALFA' and 'ANDCLIO' brands across northern Kyushu. Founded in September 2019 with only ¥3 million in capital, the company was a successor to a women's clothing business with approximately 70 years of operating history.
The company reached peak revenue of approximately ¥350 million by the fiscal year ending August 2022, matching its total debt. However, the COVID-19 pandemic struck just months after its founding, causing people to refrain from going out and devastating foot traffic at physical retail stores. Even after Japan shifted to 'with corona' policies, sales recovery was slow. Revenue fell to approximately ¥270 million by FY August 2023, a 23% decline from peak. With minimal capital reserves and approximately 200 creditors, the company ran out of cash.
And Create ceased business operations on February 19, 2024, and began preparations for a self-bankruptcy petition with approximately ¥350 million in liabilities.
Why it happened
- Founded with only ¥3 million in capital in September 2019 — the company had no financial buffer when COVID-19 struck just months later.
- Revenue peaked at ¥350 million but debt also reached ¥350 million — a company whose entire annual revenue equals its total debt cannot absorb even a minor downturn.
- The company inherited 70 years of customer relationships but also the cost structure and liabilities of its predecessor — the legacy was a burden, not an asset.
- With approximately 200 creditors and cash flow exhausted, the company had no restructuring path — a thinly capitalized retailer in a declining physical retail environment had no room to maneuver.
The lesson
A retail business founded with near-zero capital cannot survive a crisis — when your revenue and debt are the same number, one bad year is bankruptcy.
