What happened

Contém 1g was founded in 1984 by Rogério Rubini in São João da Boa Vista, Brazil. Initially producing perfumes, the company entered the retail franchising market in 2000 and grew to 120 sales points across Brazil, earning the Seal of Excellence from the Brazilian Franchising Association in 2011.

In 2006 the company repositioned exclusively as a makeup brand under the name Contém1g make-up. Despite its growth and recognition, the company became heavily indebted and filed for judicial recovery (similar to Chapter 11 bankruptcy) in 2018 with R$40 million in liabilities.

In 2022–2023, Contém 1g was acquired by Sallve Comércio de Cosméticos Ltda, a company led by Brazilian influencer Julia Petit, and returned to the market under new ownership. The restructuring saved the brand but wiped out the original ownership.

Why it happened

  • The company expanded rapidly through franchising, reaching 120 sales points, but the growth was funded by debt that became unsustainable.
  • Contém 1g's repositioning from perfume to exclusive makeup focus in 2006 required significant investment at a time when the brand was still building its retail presence.
  • The Brazilian economic crisis of the mid-2010s likely contributed to the company's inability to service its R$40 million debt load.
  • Judicial recovery was the only option to avoid full liquidation — the company was saved only by an acquisition years later.

The lesson

Growth through franchising can build a brand quickly, but if every new store adds debt instead of equity, the whole chain collapses when the economy turns.
