What happened
Closed GmbH was founded in 1978 by Marithé and François Girbaud as a French denim brand originally called "Ça". Forced to change its name due to a trademark dispute with C&A, it became Closed and relocated to Hamburg. The brand invented the stonewash production process and the x-pocket jean, selling more than 30 million pairs of its iconic pedal pushers.
Despite its design heritage, Closed accumulated excessive debt over the years. The company was operationally profitable with a healthy sales structure and turnover that outperformed the market, but the financing costs from its debt load became unsustainable.
On August 5, 2025, Closed GmbH filed for insolvency with the district court in Hamburg. Stefan Denkhaus was appointed provisional administrator. The business continues operations during proceedings, and the German Federal Cartel Office cleared a takeover by capital-Home GmbH, which also holds a majority stake in the Marc O'Polo Group.
Why it happened
- Closed accumulated excessive debt that made its financing costs unsustainable, even though the underlying business was profitable and outperformed the market.
- The company's debt structure was not aligned with the margins of a premium denim brand — the financing costs consumed the operating profit.
- A highly leveraged capital structure left the company with no buffer when market conditions tightened or when refinancing became necessary.
The lesson
A profitable business is not the same as a solvent one. When debt service consumes the operating profit, the business is working for the lenders — and one shock puts it into insolvency.
