What happened
In July 2026 Conagra Brands — maker of Banquet, Slim Jim, Marie Callender's and Reddi-wip — reported a net loss of $1.92 billion for the 53 weeks ended 31 May, driven by $2.0 billion of non-cash goodwill and brand impairment charges: $215 million against Grocery & Snacks and $1.75 billion against Refrigerated & Frozen, triggered by the sustained decline in the company's share price and market value.
Full-year sales fell 2.9 per cent to $11.28 billion and the company swung to a $1.63 billion operating loss from a $1.36 billion profit a year earlier. The board halved the quarterly dividend to 17.5 cents from 35 cents, freeing roughly $335 million a year for debt reduction and reinvestment.
Management's own diagnosis was a strategy problem, not just a market one: the balance between volume and margin 'had become skewed toward volume in recent years, at the expense of profitability', and the company — built in large part through decades of acquisitions under Sean Connolly, CEO since 2015 — carried the goodwill that then had to be written down. The reset landed weeks after John Brase, a packaged-goods veteran from P&G and J.M. Smucker, succeeded Connolly on 1 June 2026.
The first full quarter under Brase (reported 30 September 2026) confirmed the steadying phase: net sales down 1.4 per cent to $2.596 billion, organic sales down 1.1 per cent as volume declines outweighed pricing, and the sharply reduced full-year guidance reaffirmed — organic sales down 1–3 per cent, adjusted EPS of $1.40–1.50. Brase promised 'reducing complexity' in the portfolio, with a strategic review under way.
Why it happened
Volume was defended at the expense of profitability until the market value that anchors goodwill crumbled.
An acquisition-built portfolio of dozens of brands concentrated impairment risk in exactly the divisions that shrank.
A dividend yield near 10 per cent was signalling a payout the shrinking cash flows could not honestly support.
The impairments hit the two biggest categories — frozen meals and snacks — just as those categories stalled industry-wide.
The lesson
Chasing volume to keep the top line flat while margin erodes just moves the reckoning onto the balance sheet: impairment charges are where a mispriced strategy finally gets invoiced.
Aftermath
Brase reaffirmed the reset guidance for fiscal 2027, is targeting leverage of roughly 3.0x EBITDA using the cash freed by the dividend cut, and has a strategic portfolio review under way; Wall Street carries a consensus Hold with price targets of $12–16.
